This website is operated by Zero Point Energy Labs, a division of SPHERES INC. Throughout the site, the terms “we,” “us,” and “our” refer to Zero Point Energy Labs. By accessing our website and/or purchasing from us, you engage in our “Service” and agree to be bound by these Terms of Service (“Terms”).
These Terms apply to all visitors, browsers, vendors, customers, merchants, and content contributors. Please read them carefully before using our site. If you do not agree, you may not use our website or services.
We may update these Terms at any time by posting a revised version. Your continued use of the website constitutes acceptance of the updated Terms.
Our store is hosted by Shopify Inc., which provides the e-commerce platform enabling us to sell our products and services.
1. ONLINE STORE TERMS

12. PROHIBITED USES

13. EXPORT COMPLIANCE (ITAR/EAR)
Zero Point Energy Labs is registered under the International Traffic in Arms Regulations (ITAR). Many of our products, equipment, and technical data are subject to U.S. export control laws, including ITAR (22 C.F.R. Parts 120–130) and the Export Administration Regulations (EAR).
By purchasing from us, you agree to the following:
No Unauthorized Export – Our products, software, and technical data may not be exported, re-exported, transferred, or disclosed to any foreign person or entity without proper authorization from the U.S. Government.
U.S. Person Requirement – Unless specifically authorized under a license, sales are limited to U.S. persons and entities as defined under ITAR.
Restricted End Uses – You may not use our products in the design, development, or production of nuclear, chemical, or biological weapons, missile technology, or other prohibited military end uses.
Restricted Parties & Destinations – Our products may not be transferred to parties or destinations subject to U.S. sanctions or embargoes, including but not limited to Russia, Belarus, Burma/Myanmar, Venezuela, Nicaragua, China (for military end use), or restricted regions of Ukraine.
End-Use Acknowledgment – By completing a purchase, you certify compliance with all applicable U.S. export laws and agree to provide an end-use statement if required.
14. WARRANTY DISCLAIMER & LIMITATION OF LIABILITY
Zero Point Energy Labs provides a limited warranty that its battery packs and electronic products will be free from defects in materials and workmanship for a period of 90 days from the date of delivery, unless otherwise stated in writing.
If a product arrives with a faulty cell, defective BMS reading, or other manufacturing defect, we will, at our sole discretion, replace the product or supply a replacement unit at no additional charge.
Due to U.S. Department of Transportation (DOT) and International Air Transport Association (IATA) regulations, customers may not ship damaged or defective lithium batteries back to us without our written authorization and specific packaging instructions. In many cases, defects will be confirmed through diagnostic data, photos, or BMS logs, and a replacement pack will be shipped without requiring return of the defective unit.
This limited warranty does not cover damage caused by misuse, improper installation, unauthorized modifications, accidents, or normal wear and tear.
EXCEPT AS EXPRESSLY PROVIDED ABOVE, ALL PRODUCTS ARE PROVIDED “AS IS” WITHOUT ANY OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.
15. INDEMNIFICATION
You agree to indemnify and hold harmless Zero Point Energy Labs, its parent SPHERES INC., and all affiliates, officers, and employees from any claims, liabilities, or expenses resulting from your breach of these Terms or violation of any law.
16. SEVERABILITY
If any part of these Terms is determined to be unlawful or unenforceable, the remaining provisions will remain in effect.
17. TERMINATION
These Terms remain effective unless and until terminated by either you or us. We may terminate your access immediately without notice if you fail to comply.
18. ENTIRE AGREEMENT
These Terms, together with our Privacy Policy and any posted legal notices, constitute the entire agreement between you and Zero Point Energy Labs.
19. GOVERNING LAW
These Terms shall be governed by the laws of the United States and the State of California, without regard to conflicts of law.
20. CHANGES TO TERMS
We may revise these Terms at any time by posting updates. Your continued use of our site or Services constitutes acceptance of the revised Terms.
